MyDXR.com License Agreement

For Users Across All Platforms

This License Agreement applies to all users who access, download, or use the application ("App") and its associated MyDXR.com original AI created music, regardless of the platform or marketplace through which the App is obtained, including but not limited to the Apple App Store, Google Play Store, MyDXR.com and any other distribution channels. By using the App and MyDXR.com, you agree to the terms and conditions outlined in this Agreement.

Effective Date: January 1, 2025

This AI Music License Agreement ("Agreement") is entered into between MyDXR.com (the "Licensors") and any individual or entity ("User") that downloads, installs, or uses the application ("App") containing MyDXR.com AI created music available through the Apple App Store. By accessing or using the App, the User agrees to the terms of this Agreement.

1. Grant of License

The Licensors hereby grant the User a non-exclusive, non-transferable, revocable, limited licenseto access, play, and use AI created music generated by the App (the "Music") for personal, non-commercial purposes only, subject to the terms and conditions outlined in this Agreement.

2. Ownership of Music

All rights, title, and interest in and to the Music, including but not limited to intellectual property rights, remain exclusively with the Licensors. This Agreement does not transfer any ownership rights to the User.

3. Permitted Uses

The User may:

• Access and listen to the Music through the App.
• Use the Music for personal enjoyment and private playback.
• Download and store the Music on personal devices, where such functionality is explicitly allowed by the App.

4. Prohibited Uses

The User may not:

• Use the Music for any commercial purposes, including but not limited to monetized content, public performances, or advertisements.
• Distribute, resell, sublicense, or make the Music available to third parties in any form.
• Modify, adapt, reverse engineer, or create derivative works based on the Music.
• Remove any copyright or proprietary notices associated with the Music.

5. Termination

The Licensors reserve the right to terminate this Agreement and the User's access to the Music if the User violates any terms of this Agreement. Upon termination, the User must delete all copies of the Music from their devices.

6. Disclaimer of Warranties

The Music is provided "as is" and "as available" without warranties of any kind, either express or implied. The Licensors disclaim all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the fullest extent permitted by law, the Licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Music, even if advised of the possibility of such damages.

8. Governing Law and Global Application

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensors are headquartered, without regard to its conflict of laws principles. For Users located outside this jurisdiction, this Agreement is intended to comply with applicable local laws and regulations. By using the App, the User agrees that any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts in the Licensors' primary jurisdiction, unless prohibited by local law. In cases where local laws apply, Users agree to resolve disputes in accordance with the laws of their respective jurisdiction to the extent required.

9. Changes to the Agreement

The Licensors reserve the right to modify or update this Agreement at any time. Continued use of the App after any such changes constitutes acceptance of the updated terms.

Acceptance

By downloading, accessing, or using the App, the User acknowledges that they have read, understood, and agreed to be bound by the terms of this Agreement.
